MEMBERSHIP TERMS AND CONDITIONS
MEMBERSHIP TERMS AND CONDITIONS: This Membership Agreement (the "Membership Agreement") governs the terms and conditions of the Northeast Brazilian Jiu-Jitsu Association (the "Association") premium student membership (the "Membership"). By clicking the "Accept" button below, you (the "Member") agree to be bound by the terms of this Membership Agreement and any modifications made to it in accordance with Section IV below. I.STUDENT MEMBERSHIP: An Association Membership will be required to take advantage of all Association benefits and discounts. The Membership will be valid for a term of (1) one month. The Membership will be automatically renewed every month on the anniversary of the original payment date and Membership payment will be automatically deducted from the Members account every month. Members may cancel their Membership at any time on the Subscription Details page of their PayPal account. Members, not the Association, will be responsible for cancelling their automatic Membership payment and stopping their recurring payment. Memberships are non-refundable and the Association will not issue refunds or credits to Members that do not cancel their recurring payment. Members that have cancelled their account and wish to reinstate their account will be allowed to do so one time per calendar year at no charge. Additional reinstatements will be required to pay a fee of $9.00 each time they reinstate their account. The Association Membership is conditional upon a member being actively enrolled (ie. paying tuition) at an Association school. A Member that is no longer enrolled at an Association school will not have access to any benefits or discounts (certain exceptions may be made for injuries, on a case-by-case basis). The determination of when a Member is not enrolled will be made by the member's school owner and/or the Association Manager. Memberships are non-transferable, are non-refundable and will not be prorated or extended, including for injuries, moving, leaving a school, etc. The Association reserves the right to cancel your Membership at any time. The Association reserves the right to change, modify, add, or eliminate Membership benefits or events listed on the brochure or website at any time, including the price of the benefits and events, and the Member discounts. There will be no membership refunds because of any changes to Association benefits, events, discounts or prices. The Association reserves the right to increase the price of Membership at any time, and any price increases will become effective when the Membership is renewed in the following month. II.ASSOCIATION WEBSITE: Access to the private or Members section(s) of the Association website, www.northeastbjj.com, will be made available to you provided that you have an active Association Membership and are currently enrolled at an Association school. If your Membership expires you will no longer have access to the website. Members may not share their login information (username and password) with any other students or individuals. Any Members that have been determined to have given or shared their login and password information with others will have their account permanently banned. Certain sections of the Association website (seminar video, owners forum, etc) may be restricted and will not be accessible to all Members. Any attempts to access or "hack" into restricted sections of the website or the host server will result in the permanent revocation of your Membership. All content posted on this website is the property of Northeast Brazilian Jiu-Jitsu Association LLC, and cannot be posted on any other websites, nor can it be reproduced, duplicated, copied, sold, resold or exploited for any commercial or non-commercial purposes. All information and materials that are posted in the private section of the website, including event details, Membership benefits, forum posts, etc. are intended for Association Members only, and cannot be copied, reproduced or posted on other websites without the explicit authorization from the Association Manager. The video on this website is delivered by a streaming format. Any Members attempting to capture or rip copies of the streaming video from the website or the host server will have their Association Membership permanently revoked. III.OTHER TERMS AND CONDITIONS: This Membership Agreement constitutes the entire agreement between you and the Association with regards to the terms and conditions of the Membership, and supersedes all prior agreements and understandings between you and the Association, with the exception of the Association's Release and Waiver of Liability. The Association's failure to enforce any provision of this Membership Agreement will not be construed as a waiver of any provision or right. This Membership Agreement shall be construed and enforced in accordance with the laws of the Commonwealth of Massachusetts, and you consent to the jurisdiction of said state. You expressly agree that this waiver and release is intended to be as broad and inclusive as permitted under the laws of the Commonwealth of Massachusetts, that if any portion hereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect. The Association may amend this Membership Agreement from time to time and you agree to be bound by and subject to any such amended Membership Agreement. The amended Membership Agreement shall be posted on the terms and conditions page currently located at url: http://www.northeastbjj.com/public/termsandconditions.asp - and shall become effective immediately upon its posting at said url. As a user you agree to any information you have entered to being stored in a database. While this information will not be disclosed to any third party without your consent, the Association shall not be held responsible for any hacking attempt that may lead to the data being compromised.

RELEASE AND WAIVER OF LIABILITY This document affects your legal rights. You must read and thoroughly understand it before you accept it.
This Assumption of Risk, Release and Waiver of Liability (the "Release") is entered into by the new member in favor of Northeast Brazilian Jiu-Jitsu Association, LLC, a Massachusetts limited liability company, and its owners, employees, agents, representatives, staff, volunteers (collectively, “Northeast BJJ”), and the facilities or schools where any Northeast BJJ Events, Training and Activities are held, and its owners, employees, agents, representatives, staff, volunteers (collectively, “Host Facility”). "Events, Training and Activities" shall collectively include, but is not limited to, any and all events, training, classes, trips, activities or other membership benefits that are organized, coordinated or sponsored by Northeast BJJ, or is considered a benefit of a student being a member of the Northeast BJJ Association, as well as any other activities that may occur on the property of the Host Facility, whether directly or indirectly related to any Northeast BJJ Events, Training and Activities. ASSUMPTION OF RISK. I hereby represent that I have full knowledge of the nature and extent of the risks inherent in any and all of the Northeast BJJ Events, Training and Activities and that I am voluntarily assuming all risks, whether known or unknown. I understand that brazilian jiu-jitsu, martial arts and other related physical activities are inherently dangerous. I fully understand that the Northeast BJJ Events, Training and Activities involves risks of serious bodily injury, including death, permanent disability, paralysis and serious injury to bones, joints, ligaments, muscles and tendons, which may be caused by my own actions or inactions, those of others participating in the Northeast BJJ Events, Training and Activities, the conditions in which the Northeast BJJ Events, Training and Activities takes place or the negligence of Northeast BJJ or the Host Facility. I represent that I am in good health and I suffer no disability or condition which renders my participation in the Northeast BJJ Events, Training and Activities or other athletic activities medically inadvisable, or otherwise limits my ability to participate in such sport or athletic activity without restriction. RELEASE AND WAIVER OF LIABILITY. In consideration of my participation in Northeast BJJ Events, Training and Activities, I, and on behalf of myself, my heirs, representatives, assigns, and next of kin do fully and forever release, waive, discharge, hold harmless and covenant not to sue Northeast BJJ and the Host Facility from any and all causes of action, claims, demands, losses or costs of any nature whatsoever, including but not limited to a claim of negligence which I, my heirs, representatives, assigns, and next of kin may now have, or have in the future against Northeast BJJ or the Host Facility on account of injury, death, property damage or accident of any kind arising out of or in any way relating to my participation in the Northeast BJJ Events, Training and Activities, whether by the negligence of Northeast BJJ, the Host Facility or otherwise, to the fullest extent permitted by law. In consideration of my participation in Northeast BJJ Events, Training and Activities I hereby authorize Northeast BJJ or the Host Facility to perform or obtain on my behalf first aid, emergency medical care, or admission to a hospital, for the treatment of any injuries that I may sustain while participating in the Northeast BJJ Events, Training and Activities. I understand that the costs of any first aid, emergency medical treatment, ambulances, physicians’ or hospital fees are mine alone and I hereby release and forever discharge Northeast BJJ and the Host Facility from any claim whatsoever that arises or may hereafter arise on account of any first aid, treatment or service rendered in connection with any activity associated with the Northeast BJJ Events, Training and Activities. In consideration of my participation in Northeast BJJ Events, Training and Activities I hereby grant and convey unto Northeast BJJ all rights, title and interest in any and all photographic images and video or audio recordings made by Northeast BJJ and I grant permission to Northeast BJJ to use any and all photographs and video or audio recordings taken of me, without notifying me, for purposes deemed appropriate and necessary by Northeast BJJ. I hereby waive any right to royalties, proceeds or other benefits or compensation arising from or related to the use of the photographs or video or audio recordings. I hereby agree to release, defend, and hold harmless Northeast BJJ from and against any claims, damages, or liability arising from or related to the use of the photographs or video or audio recordings. This Release shall be construed and enforced in accordance with the laws of the Commonwealth of Massachusetts, and I consent to the jurisdiction of said state. I expressly agree that this waiver and release is intended to be as broad and inclusive as permitted under the laws of the Commonwealth of Massachusetts, that if any portion hereof is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect. I acknowledge that I have read this Release and that it is legally binding, I fully understand its terms, I understand that I have given up substantial rights by signing it, and sign it freely and voluntarily without any inducement.
